Users decide whether to meet, rent, lend, pay, hand over, return, or resolve an issue. Useble is not the rental party.
Financial terms agreed by users remain between those users unless a separate written Useble agreement says otherwise.
Damage, theft, loss, insurance, safety checks, taxes, and item suitability remain the users' responsibility.
1. Overview
These Terms of Service govern access to and use of Useble, an online platform operated by BlockFactory Sp. z o.o., based in Poznan, Poland, NIP: [to be completed] ("BlockFactory", "Useble", "we", "us" or "our").
Useble helps people connect locally around items that may be available for temporary use. The Service may allow owners to create alerts for items they own, receive notifications about potential local demand, and, when enabled, communicate with renters who are looking for items.
Useble is a technology platform only. We do not own, rent, lend, inspect, store, deliver, repair, insure, or guarantee any item, and we are not a party to any rental, lending, sale, deposit, delivery, or other agreement made between users.
2. Eligibility and accounts
You may use the Service only if you are at least 18 years old, have full legal capacity to enter into binding contracts, and are not prohibited from using the Service under applicable law.
You must provide accurate, current, and complete account information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity under your account unless caused by our breach of these Terms or applicable law.
We may refuse registration, suspend access, request additional information, or close an account where we reasonably believe that the account is inaccurate, abusive, unlawful, unsafe, fraudulent, or otherwise contrary to these Terms.
3. Useble's limited role
Useble is not an owner, renter, broker, agent, representative, employer, partner, insurer, payment institution, escrow provider, logistics provider, storage provider, repair provider, or guarantor for any user.
Any agreement about an item, price, deposit, pickup, return, condition, permitted use, late return, damage, loss, theft, cleaning, replacement, cancellation, or dispute is made directly between the relevant users.
We do not verify the existence, legality, safety, condition, quality, suitability, ownership, title, availability, value, or insurance status of any item unless we expressly state otherwise in writing for a specific feature.
4. Feature availability
Useble may limit the Service to selected cities, users, categories, devices, or functionality. Certain features may be unavailable, restricted, experimental, or subject to additional requirements.
Features may be changed, paused, limited, or removed at any time to improve safety, comply with law, protect users, protect the Service, or operate the platform responsibly.
Where a feature is unavailable or restricted, you must not attempt to bypass technical limitations, call disabled API endpoints, scrape restricted content, or create equivalent flows outside the intended product experience.
5. Alerts, requests, offers, and matching
An alert is an expression that you may own an item and may wish to be notified if another user later asks for something similar nearby. An alert is not a binding offer to rent, lend, sell, reserve, or provide the item.
If request, offer, messaging, or rental features become available, any request or offer must be accurate, lawful, made in good faith, and limited to items and arrangements permitted by these Terms and applicable law.
Matching, ranking, notifications, recommendations, search results, and displayed estimates may be automated and may depend on location, item category, availability, activity, safety signals, and other product factors. They do not guarantee demand, income, availability, suitability, price, or transaction completion.
6. User responsibilities
You are solely responsible for deciding whether to interact with another user, whether to make or accept any proposal, and whether an item and arrangement are appropriate for you.
Owners are responsible for ensuring that they have the right to provide an item, that the item is lawful and reasonably safe for the intended use, and that they disclose relevant limitations, defects, instructions, risks, deposits, and return requirements.
Renters are responsible for reviewing item information, asking questions, using items lawfully and carefully, following instructions, returning items on time and in the agreed condition, and resolving payment, deposit, damage, loss, and other obligations directly with the owner.
7. Agreements between users
Any rental, lending, sharing, sale, deposit, reservation, delivery, cancellation, or similar arrangement is a separate agreement between the users only. Useble is not a party to that agreement and does not enforce it for either side.
Users should agree, before handover, the item description, dates and times, location, price, deposit, permitted use, identity checks, instructions, return process, late fees, cleaning, damage allocation, loss allocation, cancellation terms, and any other material terms.
If users do not agree specific terms, they remain responsible for resolving the consequences between themselves under applicable law. Useble may provide tools or records, but doing so does not make us responsible for the arrangement.
8. Payments, deposits, taxes, and fees
Any rent, deposit, refund, reimbursement, fee, tax, invoice, receipt, or other financial arrangement agreed between users is solely a matter between those users unless Useble expressly states otherwise in a separate written agreement.
We are not responsible for unpaid rent, failed payments, chargebacks, cash handling, deposits, refunds, taxes, invoices, receipts, currency conversion, bank fees, or payment fraud connected with user-to-user arrangements.
Each user is responsible for determining and complying with their own tax, accounting, reporting, consumer, business registration, and invoicing obligations.
9. Damage, loss, theft, injury, and insurance
Useble is not responsible for any damage to, loss of, theft of, misuse of, late return of, failure to return, or reduced value of any item, nor for any personal injury, property damage, business interruption, lost profit, or other harm arising from user arrangements.
Users are solely responsible for checking whether they need insurance and whether any existing insurance covers rental, lending, commercial use, transport, theft, accidental damage, third-party liability, or personal injury.
We do not provide insurance, warranties, guarantees, deposits, recovery services, debt collection, legal representation, item replacement, or compensation for user conduct or item-related losses.
10. Prohibited and restricted items
You must not use Useble for illegal, stolen, counterfeit, unsafe, recalled, hazardous, restricted, or rights-infringing items, or for items that you do not have the right to provide.
Prohibited or restricted items include weapons, ammunition, explosives, controlled substances, prescription medicines, medical devices requiring professional supervision, regulated transport equipment, surveillance tools intended for unlawful use, adult services, live animals, financial products, official documents, access credentials, and anything requiring a licence, permit, certification, or professional qualification that the relevant user does not hold.
We may remove, restrict, or refuse content or accounts involving items or conduct that we consider unsafe, unlawful, misleading, reputationally harmful, or inconsistent with the purpose of Useble.
11. Prohibited conduct
You must not use the Service to break the law, infringe rights, mislead others, harass, threaten, discriminate, spam, manipulate rankings, scrape data, reverse engineer the Service, bypass access controls, interfere with security, introduce malware, or overload our systems.
You must not move transactions off-platform to avoid safety tools where Useble requires on-platform communication, create false demand, post deceptive alerts, impersonate another person, abuse promotions, collect personal data without a lawful basis, or use the Service for fraudulent activity.
You must not use Useble in a way that creates an unreasonable burden on our infrastructure or harms the availability, integrity, reputation, or security of the Service.
12. User content and communications
You are responsible for all content you submit, including alerts, descriptions, messages, photos, profile information, reviews, reports, and support communications. You must have the rights needed to submit it and it must be accurate, lawful, and non-infringing.
You grant Useble a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, adapt, translate, moderate, and otherwise use your content as needed to operate, secure, promote, improve, and provide the Service.
We may remove or restrict content that we reasonably believe violates these Terms, applicable law, third-party rights, product rules, community standards, safety requirements, or the integrity of the Service.
13. Safety, reports, and moderation
Useble may use manual review, automated tools, user reports, account signals, and third-party services to prevent abuse, protect users, comply with law, and moderate content or accounts.
We may warn users, limit visibility, pause features, remove content, restrict messaging, suspend accounts, terminate accounts, or notify authorities where we believe it is appropriate or legally required.
If you believe content or conduct on Useble is illegal, unsafe, or violates these Terms, contact us at support@useble.com with enough information to identify the issue. We may request additional information and may inform affected users where required or appropriate.
14. Privacy and personal data
Our processing of personal data is described in our Privacy Policy. The Privacy Policy is separate from these Terms and will explain what we collect, why we collect it, how long we keep it, and the rights available to users.
You must not share another person's personal data through Useble unless you have a lawful basis and all required notices, permissions, and safeguards. You must not use personal data obtained through Useble for unrelated marketing, scraping, profiling, harassment, or resale.
When users exchange contact details or meet outside the product flow, they do so at their own risk and remain responsible for complying with applicable data protection and privacy laws.
15. Intellectual property
Useble, including its software, interface, design, branding, databases, text, graphics, icons, workflows, and other materials, is owned by BlockFactory or its licensors and is protected by intellectual property and unfair competition laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose. No rights are granted except as expressly stated.
You must not copy, modify, distribute, sell, lease, sublicense, extract, scrape, frame, mirror, or create derivative works from the Service except where expressly permitted by law or by us in writing.
16. Third-party services
The Service may depend on third-party providers for hosting, authentication, email, maps, analytics, security, storage, notifications, payments if later enabled, and other operational functions.
Third-party services may be subject to their own terms and policies. We are not responsible for third-party services, outages, content, acts, omissions, or decisions, except where applicable law provides otherwise.
Links or references to third-party websites, products, or services do not mean that Useble endorses or controls them.
17. Availability, changes, and beta features
We aim to provide a reliable Service, but we do not guarantee uninterrupted, error-free, secure, or always-available access. Maintenance, updates, outages, abuse prevention, legal requirements, and third-party failures may affect availability.
The Service may contain beta, experimental, or seeding-phase features. They may be incomplete, inaccurate, unstable, or changed without notice.
We may modify the Service, impose limits, change eligibility rules, alter matching logic, update categories, or discontinue features where we consider it necessary or useful for users, safety, compliance, or business reasons.
18. Disclaimers
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not warrant that users are who they claim to be, that items exist or match descriptions, that users will perform their obligations, that estimates are accurate, that demand or income will occur, or that disputes will be resolved in any particular way.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer rights where they apply.
19. Limitation of liability
To the maximum extent permitted by law, Useble and BlockFactory are not liable for indirect, incidental, special, consequential, exemplary, punitive, or economic losses, including lost profit, lost revenue, loss of data, loss of goodwill, business interruption, replacement items, or loss arising from user conduct.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of: (a) the amount you paid to Useble for the Service in the three months before the event giving rise to liability; or (b) PLN 500.
The limitations apply regardless of the legal theory, whether contract, tort, negligence, strict liability, statutory duty, or otherwise, and even if we have been advised of the possibility of such loss.
20. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless BlockFactory, Useble, and their officers, directors, employees, contractors, and partners from claims, losses, liabilities, damages, costs, and expenses arising from your content, your use of the Service, your breach of these Terms, your violation of law or third-party rights, or your arrangements with other users.
This obligation does not apply to the extent a claim is caused by our own unlawful conduct or where applicable law does not permit such indemnity.
21. Suspension and termination
You may stop using the Service at any time. Account deletion or closure may be subject to retention required for legal, tax, security, fraud prevention, dispute, and legitimate business purposes as described in the Privacy Policy.
We may suspend, restrict, or terminate access if you breach these Terms, create risk, violate law, infringe rights, misuse the Service, fail verification, or if continued access may harm users, Useble, BlockFactory, or third parties.
Sections that by their nature should survive termination will survive, including provisions on Useble's role, user agreements, payments, damages, content licences, intellectual property, disclaimers, liability, indemnity, governing law, and disputes.
22. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users through the Service, by email, or by another appropriate method.
The updated Terms will apply from the effective date stated in the notice or on the page. Continued use of the Service after the effective date means acceptance of the updated Terms, except where law requires another form of consent.
If you do not agree to updated Terms, you must stop using the Service before they become effective.
23. Governing law, complaints, and disputes
These Terms are governed by the laws of Poland, without prejudice to mandatory consumer protections that may apply under the law of your place of residence.
Before starting formal proceedings, you agree to contact us first so we can try to resolve the issue informally. Send complaints or legal notices to support@useble.com unless we provide a dedicated legal address later.
If a dispute cannot be resolved informally, the competent courts will be determined under applicable law. Nothing in these Terms limits any mandatory rights to use consumer protection bodies, alternative dispute resolution, or courts available under applicable law.
